Zephyrian Creator Program: Terms and Conditions

1. Who we are and what these terms cover

The Zephyrian Creator Program (the "Program") and the platform at creators.zephyrian.shop (the "Platform") are run by Korpi Venture Oy, Painikuja 12, 70840 Kuopio, Finland, Business ID 3468479-7, VAT FI34684797 ("Zephyrian", "we", "us"). Korpi Venture Oy signs every creator agreement and pays every reward under the Program. In the United States, product is imported and shipped by Glow Imports LLC, 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, United States, which operates under the Zephyrian trade name.

Zephyrian is a group of companies. We may designate another company in our group, or a company that takes over the Program or our business, as the operator of the Program and the other party to your Agreement. We tell you by email when that happens. Your rights, your rewards and the content license are unaffected, and from the date in that email every reference to Korpi Venture Oy in these terms means the new company, with its own registered address and contact details.

These terms apply to everyone who applies to or takes part in the Program. When you are accepted, you also sign a personal creator agreement (your "Agreement"). Your Agreement contains the commercial details of your participation. If your Agreement and these terms say different things, your Agreement wins. Briefs and track details shown on the Platform form part of your Agreement for the content they cover.

The Zephyrian online store at zephyrian.shop has its own Terms of Service, Privacy Policy and Refund Policy. Those apply to purchases. These terms apply to the Program.

2. Joining the Program

You apply on the Platform or through an application form we publish elsewhere, for example on Instagram. We review every application by hand and we may decline an application without giving a reason. Acceptance into the Program is confirmed by email and by your signed Agreement.

To take part you must be at least 18 years old, have an active Instagram or TikTok account that you control, and be able to receive product at a postal address. The Program is run in the United States. We may accept creators in other countries case by case.

You confirm that your followers and engagement are real and were not bought, generated by bots or otherwise faked. Misrepresenting your audience, your identity or your content is a breach of these terms and may end your participation immediately, with unpaid rewards forfeited.

Your Platform account is personal. Keep your sign in details to yourself, do not let anyone else use your account, and tell us at once if you think someone has.

Joining costs nothing. Zephyrian never charges creators a fee, a deposit or a shipping cost, never asks creators to buy anything, and never asks for card or payment details. If anyone claiming to represent Zephyrian asks you to pay anything, it is not us. Write to creators@zephyrian.shop.

3. How the Program works: tracks

The Program offers one or more of the following tracks. Which tracks are open to you, what you receive, how you are rewarded and under which conditions is set in your Agreement and shown on the Platform.

• Your own channels. You post about Zephyrian on your own social accounts using your personal discount code or tracked links. You earn commission on sales made with them, as set in your Agreement.
• Content for Zephyrian's promotion. You create content and submit it through the Platform. We review every submission and decide which ones we accept (section 4). Accepted content may be used in our own advertising and promotion, for example as paid ads from Zephyrian's accounts, as partnership ads from your own handle where you have agreed to that (section 8), on our websites, in our emails and on our social accounts. For accepted content you are rewarded according to its performance, for example a share of the sales attributed to it, as set in your Agreement or on the Platform. Accepting content does not oblige us to run it or to keep running it.
• Other arrangements. Fixed payments, campaigns, events or other collaborations agreed with you in writing.

We may add, change or close tracks and adjust how rewards are calculated for future periods and future submissions, within the limits in section 9. Rewards already earned under the rules in force at the time are not affected. Nothing on the Platform's public pages is an offer of a particular track, reward or rate.

4. Submissions and acceptance

• Submitting. You submit content through the Platform according to the brief it belongs to. Check the brief and the track details before you submit.
• Review. We review submissions in the Platform. We may ask for reasonable revisions within the scope of the brief. You do not have to make revisions that go materially beyond the brief. If the brief states a review period and we do nothing within it, the submission lapses and you may use the content elsewhere.
• Acceptance. Content is accepted when we mark it accepted in the Platform, or when we use it in any ad, post, page, email or other promotion, whichever comes first. Acceptance starts the license in section 7 and your reward rights in section 9 for that content.
• Rejection. If we reject a submission, no license arises, we acquire no rights in it and no reward is due for it, unless the brief says otherwise. You keep all rights and may use the content elsewhere.
• Withdrawal. You may withdraw a submission at any time before acceptance. After acceptance, withdrawal is handled under section 9 (rate changes) and section 14 (ending participation).
• Visibility inside the Platform. The Platform is a shared workspace for the Program. Other creators in the Program may see your accepted content, its performance figures and what it has earned, and leaderboards that rank creators and content, shown with your name or handle. None of this is public. We may feature content and results as examples of what works. If you do not want to appear on leaderboards, tell us and we show you anonymously.
• Stopping or pulling content. We may stop running any content at any time. If content creates legal, regulatory, reputational or platform policy risk, we may require changes to it or its removal, even after acceptance and even if it is already published. Rewards earned up to that point stand.

5. Products, gifts and other items

We may provide you with Zephyrian product and other items at no cost under your Agreement or a challenge: for example supplements, accessories such as the travel tin, skincare, digital products, services, event tickets or other gifts. What you receive is set in your Agreement or the challenge rules. Items are for your own use and for creating content. They are not for resale or for giving away in bulk.

The supplement is a dietary supplement. Use it as directed on the label. Read the label before you start. If you are pregnant, nursing, taking medication or have a medical condition, talk to your doctor first. If you have an adverse reaction, stop using the product and tell us at creators@zephyrian.shop.

If you break your Agreement, including by missing an agreed deadline, we may ask you to return unused physical items at your own cost, and we may end your access to digital items and services. We never ask you to pay for items you received.

6. Content rules

These rules apply to everything you post about Zephyrian and to everything you submit through the Platform:

• Be truthful. Describe your own real experience. Do not claim results you did not have.
• Use only the product facts we give you. We provide approved facts about ingredients, testing and how the product works. Do not claim that the product treats, cures or prevents any disease or medical condition, and do not make claims about other products or brands unless we provide them.
• Disclose the relationship. Every post, story, video or comment that mentions Zephyrian, uses your code or your link, or shows product you received from us must carry a clear disclosure such as "#ad", "paid partnership" or the platform's built in paid partnership label. This is required by the United States Federal Trade Commission and by the platforms themselves. We may ask you for proof, for example a screenshot.
• Submit only your own work with the rights cleared. Content you submit must be created by you. Anyone else who appears in it must have agreed to its use, and for minors a parent or guardian must have agreed. Use only music, images and other material that you have the right to license to us for the uses in section 7, or that we provide, and tell us about any limits on that material.
• Keep it fit for advertising. Content we may run as ads has to follow the advertising rules of the platforms where it may run. We give you a brief with the practical rules for each submission.
• Follow the platform's rules. Instagram's and TikTok's terms and community guidelines apply to everything you post.
• Keep posts up. Unless your brief says otherwise, keep a post you made for the Program live for at least 30 days, and do not bury it by posting again within a few hours.
• Keep it lawful and respectful. No content that is unlawful, misleading, defamatory, or that infringes anyone's rights. While you take part in the Program, do not publicly disparage Zephyrian or its products. Honest opinions and legally required statements are always allowed.
• Do not tamper with tracking. Do not alter, remove or work around discount codes, tracked links, tags or any other attribution we use.
• Use our brand assets as provided. You may use the Zephyrian name, logo and product images we give you, as provided, only for Program content.

We may ask you to change or remove content that breaks these rules.

7. Rights in your content

You keep ownership of the content you create. Before acceptance, we may view and evaluate a submission inside the Platform and nothing more.

Under your Agreement you grant Zephyrian a worldwide, royalty free license to use content you submit through the Platform that we accept, and content you post about Zephyrian that we accept for use, in our marketing and promotion in any medium, including paid advertising on any platform, our websites, emails, marketplaces and social accounts, and to shorten, edit, caption, subtitle, translate and combine it with other material. The license covers your name, handle, voice and likeness as they appear in the content. Where the law allows, you agree not to assert moral rights against these uses. The license continues for content accepted during the Program, including after the Program ends, unless your Agreement says otherwise. Content you submit that we do not accept stays yours without any license to us.

You may use content you created for the Program in your own portfolio and to promote yourself, for example on your website or as a sample of your work. You may not license it to other brands or use it in campaigns for competing products.

8. Partnership ads (whitelisting)

Some tracks include running your content as paid ads from your own Instagram handle, called partnership ads. This is optional and happens only if your Agreement includes it. The permission is granted by you inside Instagram through Meta's own partnership ads tools, never through the Platform and never by sharing a password. We receive from Meta only whether your permission is pending, approved or declined. You can withdraw the permission at any time in Instagram under Settings, Creator tools and controls, Partnership ads. Ads run this way are delivered as ads and do not appear as posts in your own feed. Rewards for partnership ads are set in your Agreement.

9. Rewards, tracking and payouts

• Tracking. For your own channels we record orders made with your code or through your links. For accepted content we record the performance of the ads or placements it runs in, for example the sales attributed to them, using our own tracking and the data the advertising and store platforms give us. The rules for attributing a sale to you are set in your Agreement.
• One reward per order. An order never earns a reward twice, and never to two creators.
• Basis. Rewards based on sales are calculated on the order amount after discounts, excluding shipping and taxes. Orders that are refunded, charged back or cancelled are deducted, and the deduction shows in your dashboard in the next payout cycle. Orders made by you or by people acting for you, sales generated through coupon sites, and sales generated through incentivized or misleading promotion do not count and may end your participation.
• Changing a rate. Each brief states the rewards that apply to submissions made under it, and a new brief may carry different rewards from the moment it is published. If we change the reward rate that applies to content already accepted or to a code already in use, we tell you at least 7 days before the change. Results attributed before the change date are paid at the old rate. If you do not accept the new rate, you may withdraw your accepted content from future use, and we stop running it within 14 days of your notice. The license in section 7 then ends for future use of that content, without affecting uses already made.
• Your dashboard. The Platform shows your orders, performance and rewards. Our records are the record. If you believe a figure is wrong, tell us within 30 days of the payout date and we will check it.
• Payout. Rewards are paid on the last day of the month after the month in which they were earned. Rewards earned in September are paid on October 31. We pay to the payout method you give us on the Platform (PayPal), in US dollars. We may set a minimum payout amount on the Platform; amounts below it roll over to the next payout. We are not responsible for delays caused by the payout provider or your bank.
• Taxes. You are responsible for any taxes due on what we pay you. We may ask you for tax forms before paying, and we withhold amounts only where the law requires it.

Nothing in the Program guarantees any income. What you earn depends on the sales and performance your content produces.

10. Challenges, bounties and prizes

From time to time we may run challenges, bounties, giveaways, contests or other rewards on the Platform, for example a bonus for a video that reaches a target, a prize for the best submission of the month, a trip or an invitation to a Zephyrian event (each a "Challenge").

• Each Challenge has its own rules, published on the Platform or sent to you in writing: who can take part, the period, what counts, how winners or payouts are decided, the prize, and any cap on the total we pay out. Those rules are part of your Agreement for that Challenge. Taking part is optional.
• We decide. Results are decided by us according to the rules, after verification. Where the rules involve judgement, our decision is final. Results affected by fraud, manipulation or tampering with tracking are void.
• We may change or cancel a Challenge before it ends, for example if it is being gamed, if a platform changes its rules, or for business reasons. If we cancel, nothing is owed for the cancelled part. Rewards already confirmed as earned under the rules stand.
• A prize is owed only when the rules are met and we have confirmed it. Nothing is owed beyond what the rules state. We may set a maximum total payout for a Challenge and a tie break.
• Prizes are personal. They cannot be transferred, sold or exchanged for cash unless the rules say so. Trips, tickets and events are subject to availability, the dates we set, and your ability to travel; we are not responsible for costs the rules do not cover. If a prize becomes unavailable we may substitute one of similar value.
• Taxes on prizes are your responsibility. We may need tax identification before handing over a prize.
• Where chance is involved we follow the applicable sweepstakes law: no purchase or payment is ever necessary to enter or win, and the Challenge is void where prohibited.

11. Your responsibilities

• Give us accurate information and keep your contact and payout details current.
• Use the Platform only through your own account, only for the Program, and only in lawful ways. Do not copy, scrape, probe or disrupt the Platform.
• Do not send unsolicited bulk messages, buy followers or engagement, or use bots.
• Do not share your discount code on coupon or deal sites.
• Do not present yourself as an employee or agent of Zephyrian.

12. What we provide

• The product your Agreement covers, within the time it states.
• Approved product facts, briefs and a working dashboard.
• Rewards paid on the schedule in section 9, and Challenge prizes as their rules state.
• Support at creators@zephyrian.shop. We are a small team, parts of our communication and review may be automated, and we answer as promptly as we can.

13. Independent relationship

You take part in the Program as an independent creator. Nothing in these terms or your Agreement creates an employment, agency, partnership or joint venture relationship. You are responsible for your own taxes, insurance and expenses, and no benefits of any kind are owed to you. You are not exclusive to Zephyrian unless your Agreement says so.

14. Ending participation

You may leave the Program at any time by emailing creators@zephyrian.shop. We may end your participation at any time with written notice, and immediately if you break these terms or your Agreement. When participation ends, your code and links are deactivated and rewards already earned are paid on the normal schedule. If we keep running content you accepted into the Program after you leave, performance rewards for that content keep accruing under the rules that applied to it, until we stop running it. The license in section 7 continues as described there. If participation ends because of fraud, misrepresentation or a breach of section 6, unpaid rewards tied to the breach are forfeited. Challenges are handled under section 10.

15. Conduct after leaving

We may decline an application or end participation without giving reasons, and we do not discuss individual creators' participation or our reasons in public. We ask the same courtesy from you, within these limits:

• Confidentiality continues. Briefs, rates, performance data, unreleased products and our private communications stay confidential after you leave (section 16).
• No false statements of fact about Zephyrian, its products or its people, during or after the Program. Honest opinions, honest reviews and anything the law protects are always allowed, and nothing in these terms limits them.
• No impersonation. After you leave, do not use the Zephyrian name, logo or brand assets, and do not present yourself as part of the Program or affiliated with Zephyrian.
• Talk to us first. If you believe we owe you something or treated you unfairly, email creators@zephyrian.shop and give us 14 days to put it right before taking the matter elsewhere.

We pay rewards already earned on the normal schedule when participation ends, whatever the reason, except as described in section 14.

16. Trademarks and confidentiality

The Zephyrian name, logo and brand assets belong to Korpi Venture Oy and Glow Imports LLC. You may use them only as described in section 6. Briefs, rates, unreleased products and performance data we share with you are confidential, during and after the Program. Do not share them outside the Program. Suggestions and ideas you send us about the Program are not confidential, and we may use them without owing you anything.

17. Responsibility for your content

You are responsible for the content you create and for the statements in it. If a third party makes a claim against Zephyrian because your content breaks section 6, infringes someone's rights, or contains a false or unsubstantiated claim you made, you will cover the costs and damages that claim causes us, as far as the law allows. We tell you promptly about any such claim and cooperate with you on it.

18. Disclaimers and limitation of liability

The Platform is provided as it is. We do not promise that it is free of errors or interruptions, and we may change or pause parts of it. To the extent the law allows, Zephyrian's total liability to you under the Program is limited to the rewards due to you in the twelve months before the claim, and neither side is liable to the other for indirect losses such as lost profits. Nothing in these terms limits liability that cannot be limited under applicable law.

19. Privacy

How we handle your personal data in the Program, including how we may use it to find new creators through advertising platforms, is described in the Creator Platform Privacy Policy.

20. Changes to these terms

We may update these terms. We email you at least 14 days before a change takes effect. If you keep taking part after that date, the new terms apply. Track details, briefs and reward calculations shown on the Platform may change for future periods without a change to these terms, as described in sections 3, 9 and 10. The commercial terms in your Agreement do not change without your written consent.

21. Governing law and disputes

These terms and your Agreement are governed by the laws of Finland. Disputes are settled by the Helsinki District Court, Finland. If another company takes over the Program under section 1, the laws and courts of that company's home country apply from the date we tell you, and we tell you which they are. If you are a consumer or creator in a country whose law gives you protections that cannot be waived, those protections still apply to you whatever the governing law. Before any formal step, write to us. Most issues are solved by email.

22. General

Notices to you go to the email address on your account. Notices to us go to creators@zephyrian.shop. You may not transfer your Agreement to anyone else. We may transfer it to a company in our group or to a company that takes over the Program or our business, wherever that company is based, as described in section 1, and we tell you if we do. If a part of these terms turns out to be invalid, the rest still applies. Sections that by their nature should continue after participation ends, such as rights in content, rewards, conduct after leaving, confidentiality, responsibility for content and limitation of liability, continue. These terms, your Agreement, the briefs and the Privacy Policy are the whole agreement between us about the Program.
